1. About these terms

This website and online store are operated by Ester BioScience Limited, NZBN 9429053435842 ("Ester BioScience", "we", "us"). Our store runs on Shopify, which hosts the site and processes orders and payments on our behalf. These terms apply to your use of the website and to every order you place through it. By using the site or placing an order, you agree to them. If you do not agree, please do not use the site.

If you are buying as a consumer, nothing in these terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. If you are buying for business purposes, Section 10 also applies to you.

2. Who can order

You must be able to enter into a legally binding contract to place an order. You agree to give us accurate, current and complete details when you create an account or place an order, and to keep them up to date.

3. Accounts

You are responsible for keeping your login details confidential and for everything done under your account. Do not share your login with anyone. Tell us at sales@esterbioscience.com as soon as you can if you think your account has been compromised. We may suspend or close accounts that breach these terms.

4. Products, pricing and GST

We do our best to show our products accurately, including colours, packaging and specifications, but actual products may vary slightly from the images. Prices are in New Zealand dollars and exclude GST unless stated otherwise. GST and shipping are added at checkout and shown before you pay. Prices and availability can change without notice. If a product is listed at an incorrect price or with incorrect information, we may cancel the order and refund you in full. We may limit order quantities and may discontinue any product at any time. Promotional codes are subject to the conditions stated when they are offered and may be withdrawn at any time.

5. Orders

Placing an order is an offer to buy. We accept your offer when we send you an order confirmation. We may cancel an order before dispatch if we suspect fraud or unlawful activity, the product is unavailable, or there is an error in pricing or product information. If we cancel an order you have already paid for, we will refund the full amount to your original payment method. Once an order has been dispatched it cannot be changed or cancelled, but you may be able to return it under Section 7.

Shipping rates, timeframes and delivery terms are set out in our Shipping Policy, which forms part of these terms. If you are a consumer, risk in the products passes to you on delivery. If you are a trade customer, risk passes when we hand the products to the courier. Title passes when we have received payment in full.

6. Payment

Unless you have a trade account with agreed payment terms, payment is due in full at checkout. By providing a payment method you confirm you are authorised to use it. Payments are processed by Shopify and its payment partners; we do not store your full card details. You authorise us to charge the total shown at checkout, including GST and shipping.

7. Change-of-mind returns

We are not required to accept change-of-mind returns, but we will if you contact us at sales@esterbioscience.com within 14 days of delivery, the product is unopened and unused with its original packaging and seals intact, and you pay the return freight. Because our products are cleaning and hygiene chemicals, we cannot accept opened or partly used products back, for health and safety reasons. Once we receive and check the return, we will refund the product price (excluding original shipping) to your original payment method within 10 business days. This section does not apply to faulty or damaged products, which are covered by Section 8.

8. Faulty or damaged products

If a product arrives damaged, or is faulty or not as described, contact us at sales@esterbioscience.com. For damage in transit, please let us know within 48 hours of delivery and include photos of the product and packaging so we can make a claim with the courier. If you are a consumer, you have the rights and remedies set out in the Consumer Guarantees Act 1993, including repair, replacement or refund depending on the fault, and nothing in these terms limits those rights. If you are a trade customer, Section 10 sets out the remedies available to you.

9. Product use and safety

Our products are cleaning and hygiene formulations made for the purpose stated on their labels. You must read and follow the label, including the directions, any dilution instructions and contact times, warnings and precautionary statements, and the Safety Data Sheet (SDS) for each product, which is available on this website.

Use products only as directed and do not mix them with other chemicals. Keep products in their original containers with the label intact, and out of reach of children. Store and dispose of products in line with the label, the SDS and applicable law. Some products carry hazard classifications under the Hazardous Substances and New Organisms Act 1996; the label and SDS set out how to handle them safely. Disinfectant performance depends on following the label directions, including contact time.

You are responsible for the safe use, storage and disposal of the products. To the extent the law allows, we are not liable for loss or damage caused by use contrary to the label or SDS.

10. Trade customers

If you buy products for the purposes of a business (a "trade customer"), the following terms apply in addition to any trade account agreement between us. If your trade account agreement conflicts with these terms, the trade account agreement prevails.

(a) Trade accounts are opened at our discretion. We may carry out credit checks and may set, change or withdraw credit limits at any time.

(b) Unless your trade account agreement says otherwise, invoices are payable by the 20th of the month following the invoice date.

(c) If you do not pay on time, we may charge interest on the overdue amount at 1.5% per month, calculated daily from the due date until payment is received, and you must reimburse our reasonable costs of recovering the debt, including collection agency and legal costs. We may also suspend supply until the overdue amount is paid.

(d) Title in the products remains with us until you have paid for them in full. Until then you hold them as bailee for us, must store them so they are identifiable as ours, and may use or sell them only in the ordinary course of your business. If you do not pay when due, we may enter your premises to recover the products. This clause creates a security interest under the Personal Property Securities Act 1999. You agree that we may register a financing statement on the Personal Property Securities Register and you waive your right to receive a verification statement.

(e) You confirm that you are acquiring the products in trade. You agree that the Consumer Guarantees Act 1993 does not apply to your purchase, and that sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply to the dealings between us. You agree that this is fair and reasonable.

(f) Our liability to trade customers for faulty products is limited, at our option, to replacing the products or refunding the price paid for them. We are not liable to trade customers for any indirect or consequential loss, or for loss of profit, business or revenue. Our total liability in connection with any order is limited to the amount paid for that order.

11. Intellectual property

Everything on this website, including text, images, product photography, graphics, logos and the Ester BioScience, Puresta and EstaCore names and marks, is owned by or licensed to us and is protected by intellectual property law. Our formulations are proprietary. You may not copy, reproduce, distribute, modify or create derivative works from any content without our written permission, other than downloading or printing SDSs and product information for your own use of the products.

12. Acceptable use

You must not use the website to break any law, infringe anyone's rights, upload malicious code, attempt to gain unauthorised access to the site or related systems, interfere with the site's operation, scrape or copy content in bulk, or do anything fraudulent, unsafe or abusive. We may restrict or block access for anyone who does.

13. Privacy and communications

Our Privacy Policy explains how we collect, use and protect your personal information and forms part of these terms. If you opt in to marketing emails, we may send you news, offers and product information; you can unsubscribe at any time using the link in any email. We will always send you transactional messages about your orders.

14. Third-party links

The website may link to third-party sites we do not control. We are not responsible for their content or practices, and you use them at your own risk.

15. Our liability

If you are a consumer, nothing in these terms limits the guarantees or remedies you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986. Apart from those rights, and to the extent the law allows, the website and our products are provided without any other warranties, and we are not liable for indirect, incidental, consequential or special loss, or loss of profit, revenue or data, arising from your use of the website or our products. Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

16. Indemnity

You agree to indemnify us against any loss, damage, claims and costs (including reasonable legal costs) we suffer because you breached these terms or used the website or our products unlawfully or contrary to the label or SDS.

17. General

We are not liable for delays or failures caused by events outside our reasonable control, including courier disruptions, supply shortages, natural events or government action. If any part of these terms is unenforceable, the rest remains in effect. These terms, together with our Privacy Policy, our Shipping Policy and any trade account agreement, are the entire agreement between us for your use of the website and your orders. We may update these terms from time to time. The current version is posted on this page with its "Last updated" date and applies to orders placed after that date.

18. Governing law

These terms are governed by New Zealand law, and you submit to the non-exclusive jurisdiction of the New Zealand courts.
